ASTRO RUNNERS LTD.
NFT LICENSE AGREEMENT

Licensor: Astro Runners Ltd. (“Creator,” “we,” “our,” or “us”)
Licensee: Any individual or entity that owns one or more Astro Runners NFTs (“Holder,” “you,” or “Licensee”), as identified by the blockchain wallet address associated with the NFT.

The Creator is the sole author, copyright holder, and rights owner of the Astro Runners NFT Collection, a series of 8,888 unique digital artworks forming part of the Astroverse ecosystem.
Each NFT represents a digital collectible recorded on a public blockchain.

This License Agreement sets forth the rights and limitations applicable to the Licensee regarding the use of Astro Runners NFTs and their associated content.

1.1. By acquiring an Astro Runners NFT, the Licensee obtains ownership of a unique blockchain token that corresponds to a specific digital artwork (“the Artwork”).

1.2. Ownership of the NFT does not transfer copyright, trademark, or other intellectual property rights in the Artwork or brand. All such rights remain with the Creator.

1.3. This Agreement governs the Licensee’s right to use and display the Artwork linked to the NFT, in accordance with the Terms & Conditions and Privacy Policy of Astro Runners Ltd.

2.1. Subject to compliance with this Agreement, the Creator grants the Licensee a non-exclusive, worldwide, non-transferable (except through NFT sale), revocable, royalty-free license to:

a. Display the Artwork privately or publicly for non commercial purposes.

b. Resell or transfer the NFT on recognized blockchain marketplaces.

c. Use the NFT within officially approved Web3 environments such as blockchain based games, AR, VR, or virtual galleries.

d. Share the Artwork on social media for personal enjoyment and community engagement, provided proper attribution (“Astro Runners”) is given.

2.2. The License is intended solely for personal, non commercial use, unless separate written permission is obtained from the Creator.

Without the prior written consent of the Creator, the Licensee may not:

a. Use the NFT or Artwork for any commercial purpose, including selling products, services, or derivative works based on the Artwork.

b. Mint, reproduce, distribute, or create derivative NFTs using the Artwork.

c. Modify, animate, or alter the Artwork for resale or promotional use.

d. Use the Artwork or NFT in connection with hate speech, violence, pornography, racism, gambling, political campaigns, or illegal activities.

e. Claim authorship, copyright ownership, or creative credit for the Artwork.

f. Use the Artwork in any manner that may damage the reputation or integrity of Astro Runners Ltd. or its community.

4.1. Holders may apply for a Commercial Use License to create and sell merchandise, digital derivatives, or collaborations incorporating the Artwork.

4.2. Such rights must be granted in writing by Astro Runners Ltd., and may include specific terms, duration, and revenue share agreements.

4.3. Without such written approval, all commercial use remains prohibited.

5.1. The License automatically transfers with the NFT to any subsequent owner upon blockchain transaction.

5.2. Once an NFT is sold, transferred, or otherwise disposed of, the previous Licensee’s rights immediately terminate.

5.3. The new NFT holder automatically becomes the new Licensee under this Agreement.

6.1. This License remains valid for as long as the Licensee owns the respective NFT.

6.2. The License terminates automatically upon transfer of ownership or violation of this Agreement.

6.3. In case of breach (e.g., unauthorized commercial use or infringement), the Creator may revoke the License and pursue legal remedies.

7.1. All intellectual property rights including copyright, trademarks, design rights, and patents  remain the exclusive property of the Creator.

7.2. The Licensee acknowledges that this Agreement does not grant ownership of any underlying intellectual property.

7.3. Unauthorized reproduction or exploitation of the Artwork constitutes copyright infringement and may result in civil or criminal action.

8.1. The NFT is provided “as is” and “as available.” The Creator makes no warranties as to its value, functionality, or future utility.

8.2. The Creator is not liable for any loss of access, data, or value due to third party services, hacks, smart contract vulnerabilities, or wallet loss.

8.3. The Licensee is solely responsible for safeguarding wallet credentials and for verifying marketplace authenticity.

9.1. This Agreement forms part of the Astro Runners Ltd. legal framework, which includes:

• Privacy Policy (2025 Edition)

• 
  9.2. In the event of a conflict, the Terms & Conditions shall prevail.

• 
  9.3. All data and user rights are governed by the Astro Runners Ltd. Privacy Policy.

This Agreement is governed by the laws of Northern Cyprus, excluding conflict of Law principles.

Any dispute shall be finally resolved by arbitration administered by the Cyprus Arbitration and Mediation Centre (Nicosia, Cyprus), conducted in English.
The arbitral award shall be final and binding.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

This Agreement constitutes the entire understanding between the Creator and the Licensee regarding the Astro Runners NFTs, superseding any prior representations or communications.
